Terms of Service

Last updated: March 2026. By using Awa, you agree to these terms.

1. Agreement

These Terms of Service (the “Terms”) form a binding agreement between you and The Ravenshield Corporation New Zealand Limited (“AWA”, “we”, “us”), a company incorporated in New Zealand. By creating an account or using the Awa platform, you agree to these Terms. If you are agreeing on behalf of a firm, you confirm that you have authority to bind that firm.

These Terms apply to all users of Awa, including firm administrators, team members, and clients who interact with client portals.

2. The Service

Awa is a cloud-based PBC (Prepared by Client) document management platform built for audit firms. The service includes:

  • • Engagement management and team collaboration tools
  • • Client portals for document upload and PBC tracking
  • • AI-assisted document classification (powered by Anthropic's Claude API)
  • • Inbound email document ingestion
  • • Audit log and chain-of-custody tracking

We reserve the right to modify, add to, or discontinue features of the service. Where changes materially affect your use, we will give reasonable notice.

3. Accounts & Access

Firm accounts: Firms sign up for a subscription and control team access. The firm administrator is responsible for inviting team members, setting roles, and managing portal access for clients.

Account security: You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. If you suspect unauthorised access, notify us immediately at security@tryawa.com.

Client portal access: Clients access their portal via unique links issued by the firm. Firms are responsible for issuing portal links only to authorised client contacts and for revoking access when appropriate.

Paid access only: Awa is a paid service. There is no free tier. Access requires an active subscription.

4. Acceptable Use

You agree not to:

  • • Upload malicious files, malware, or content designed to interfere with the service
  • • Attempt to access another firm's data, engagements, or portals
  • • Attempt to reverse engineer, decompile, or extract the AI classification models or prompts
  • • Use the service for any unlawful purpose or in violation of applicable regulations
  • • Exceed any rate limits or use automated tools to scrape or bulk-extract data in ways not supported by the product
  • • Resell or sublicense access to the platform without our written consent

We reserve the right to suspend or terminate accounts that violate these rules without notice where necessary to protect the integrity of the platform or other customers.

5. Subscriptions & Billing

Awa is priced on an engagement slot basis. An engagement slot represents one active (unlocked) engagement. Locked or archived engagements do not count against your slot limit.

Current plans (NZD, billed monthly):

  • Starter: $299/month, up to 4 active engagement slots
  • Professional: $599/month, up to 15 active engagement slots
  • Business: $999/month, up to 40 active engagement slots
  • Enterprise: Custom pricing, available by arrangement

Billing is processed by Stripe. By subscribing, you authorise Stripe to charge your nominated payment method on a monthly recurring basis until you cancel. Cancellation takes effect at the end of the current billing period, no partial-month refunds are issued.

We reserve the right to adjust pricing with 30 days notice. Plan changes (upgrades or downgrades) take effect at the start of the next billing cycle unless otherwise agreed.

6. Data Ownership

You own your data. Awa does not claim any intellectual property rights over the documents, engagement data, or client information you upload to the platform.

By using Awa, you grant us a limited, non-exclusive licence to process, store, transmit, and display your data solely to the extent necessary to provide the service, including sending documents to the Claude API for AI classification, storing files in Supabase, and delivering email notifications via Postmark.

We do not use your client document content to train AI models. Classification results are used only to populate engagement data within your account.

7. AI Classification

AI-assisted document classification is a tool to help your team work more efficiently, it is not a substitute for professional auditor judgment.

Classification results are suggestions. You are responsible for reviewing, confirming, and overriding AI classifications where necessary. Awa is not liable for errors, omissions, or misclassifications produced by the AI, and reliance on AI output without human review does not constitute due diligence.

Document content sent to the Claude API is processed subject to Anthropic's privacy policy. We send only the document content required for classification, no firm name, client identifiers, or account details are included in AI requests.

8. Availability & Support

We target 99.9% monthly uptime for the Awa platform but do not guarantee any specific availability level. Planned maintenance windows will be communicated in advance where possible. Unplanned outages will be communicated via our status page and email.

Support is provided via email at hello@tryawa.com. We aim to respond to support requests within one business day (Monday–Friday, NZT). Enterprise customers may arrange dedicated support terms.

9. Limitation of Liability

To the maximum extent permitted by New Zealand law, Awa is not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, loss of goodwill, or business interruption, arising from your use of or inability to use the service.

Our total aggregate liability for any claim arising out of or relating to these Terms or your use of Awa is limited to the total fees paid by you to Awa in the 12 months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, or any other liability that cannot be excluded by law.

10. Termination

By you: You may cancel your subscription at any time from the billing settings in your account. Cancellation takes effect at the end of your current billing period.

By us: We may suspend or terminate your account with reasonable notice if you breach these Terms, fail to pay, or if we discontinue the service. In the event of discontinuation, we will give at least 60 days notice.

After termination: On termination, you have 30 days to export your data. After this period, your data will be deleted in accordance with our Privacy Policy. Audit logs may be retained for 7 years as required by ISQM 1.

11. Governing Law

These Terms are governed by the laws of New Zealand. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of New Zealand.

For disputes involving amounts under NZD $30,000, either party may elect to use the Disputes Tribunal process as an alternative to court proceedings.

12. Changes to These Terms

We may update these Terms from time to time. For material changes, those that significantly affect your rights or obligations, we will give at least 30 days notice via email before the changes take effect.

Continued use of Awa after updated Terms take effect constitutes your acceptance of the new Terms. If you do not agree to the updated Terms, you may cancel your subscription before the effective date.
